How to Start a Business - Starting a Ltd Company in the UK - Registering Ltd Company

489 ratings | 31341 views
Hi everyone, To all entrepreneurs out there, this is how to go about starting your own company, with what you need and what you need to know when registering your Ltd Company. Thought I would give a run down of working your way through the GOV.CO.UK website and starting your own Ltd company in the UK, as it's not easy going through it. I have spoken to a number of people who need help with it, so I have run through it in this video with all of the links for choosing a name, companies house, getting the codes, and other things that you will need to register for a Limited Company in the UK. Register your Company: https://www.gov.uk/limited-company-formation/setting-up Get a SIC Code: http://resources.companieshouse.gov.uk/sic/ Companies House - Name Checker: https://beta.companieshouse.gov.uk/ Website: https://www.brightbluedm.com/digital-marketing-agency-home Facebook: https://www.facebook.com/brightbluedm Instagram: https://www.instagram.com/brightbluedigital Email: [email protected]

Hi do I have to do this even if my business is online ?
Hi, if you want to be a ltd company yes, however if you just are starting and you can just start as a sole trader. Though you will want to look at what suits your business. Thanks.
miss (1 month ago)
Is it okay to make 1 share worth £1 for now?
miss thanks, for the shares I would recommend google it first, just the basics for Ltd company shares as there will be enough free info to get you started on there. If you already pay an accountant then you can ask as well but otherwise more info will be freely available. Thanks.

JG Travelling Entrepreneur thank you for replying so quickly I would love to see a video explaining shares more because I’m quite new to it even though I’ve heard about shares. Or is this something an accountant would help with??
miss yes, you can always change it in future and just an easy number to use when getting started. You can set it to whatever you want though.

What if you decide to rent an office/building? can you use that address?
will goldsmith (3 months ago)
Yes. Exactly that... If you have no physical address you would usually use an accountants address.
Snazz Bucket15 I believe so, however you would need to double check. However if you rent it and your business is based there, then there is no obvious reason why it cannot be. Plus you can always change addresses at a later date through Companies House. Thanks.

Very good video one question can I set up a Po box and that be my official address for my limited company
emma barton (5 months ago)
@SheSooo 'Slide' You can use your accountant's address if he/she agrees as your company's address, which many people do.
SheSooo 'Slide' (5 months ago)
So how do I reframe from using my actual addressing don't want anyone knowing my real address if it's on a public list any ideas to get around this
Jake Grose (5 months ago)
Not sure tbh, sorry try googling it, though it may have to be a proper address?

Thanks for the advice. Gonna get started

Hi and thanks for the video. You mentioned that you have to pay corporation tax on a company's profits. Do you also have to pay income tax on any salary you draw from the company? And if so would this not amount to total 40% tax (e.g. 20% corporation tax +20% income tax)?
Sam Barnes hope that helps. Thanks.
Sam Barnes hi Sam, yes so you pay your VAT (when registered) first. Then, you take your salary and pay personal tax then after running business pay Corp tax on your profits, then take dividends and pay more income tax on those. But it’s all different percentages and depends on finances and situations.

Thanks a lot for this video man. A lot of the other videos on YouTube about this subject are very confusing but this one is simple to follow and makes a lot of sense.

Do you have any advise of how to setup a business account after forming a company..in th UK
Aurelian Spodarec (7 months ago)
You can't have a company without a business, can you?
Kiara Lue (10 months ago)
Thanks for this video , but what if you have 2 business names and need for them to both be legally protected?
Kiara Lue Company makes aren’t legally protected until you have a trademark (as far as I’m aware) then for two names, that would be two different companies or do you mean a company name and then a trading name? In which case, that gets put in as part of the process. If not done to start with you can always update your trading name and even change company name with companies house. Hope that helps. Thanks.

There are other companies such as an unlimited company and a Listed company. Also yes a company director can technically be 16 but not practically or realisticly, as they would still be a minor and not many people will enter into business contracts with a minor. Also at least one director must be human. You cannot form a company with just you as a shareholder and a company being the director. Plus, I may be wrong about this but you do not have to issue yourself 100% of the shares if your a single shareholder. You just have to issue yourself at least 51% of the alloted share capital. You also didn't talk about the articles of association which is basically the companies constitution and it is legally bound by the terms. These may be model articles or you can draw up custom made articles

Magenta (1 year ago)
Hi - great video ! Super informative ! Is it illegal to open a company with my home address only ? You mention that is not the ideal but I really want to know if it is eligible or not . Thank you
Magenta (1 year ago)
It does help surely - i ever had the idea that would be so much little trouble - specially choosing between being a sole trader or having a ltd company . Thank you very much
Hi Magenta, No not illegal at all, many businesses are run from home, especially if you are online, you can set your home address as the business address, office, and your home address, so just put the same address for all 3 times when registering. Hope that helps :)
Deepak Adhav (1 year ago)
Hello, very good video thank you so much. i have a question that i am living in Japan then how can i get UK address to register LLC? thank you
Aurelian Spodarec (7 months ago)
@JG Travelling Entrepreneur Is that even legal?
Deepak Adhav thanks, hope it helped. For an address in the uk, there are companies that will do this for you, you pay a small fee and they give you a registration address for your business, then they will collect any mail and forward to you. Or if you get a uk accountant, they can do the same. But if you google how to get a UK business address. There are a number of companies who offer this service. Hope that helps. Thanks.

i just got my ltd setup through the company i got my UK Registered Office Address from. how long does it usually take to get "accepted"?
MAE NUVAL (1 year ago)
Hi, Can you please help me, i would like to register online in UK.
Hi Mae, What exactly do you need help with? If you check out this video and others, as there are some far better ones out there as well, then go the the .gov website - google search start a business in uk, then it's £12 and you can just go for it. Feel free to ask exactly what you need help with. If you still don't feel confident to do it, you can always pay people to do it for you, though obviously this will cost more. Thanks.

Hi, I actually found my accountant by using Google Reviews, so worth looking at your local accountants online, then check their websites and their reviews, if they have any. I only even spoke to the ones with decent online reviews, but just worth shopping around, remember you're the client so you can always change accountant, if they're useless, glad the video was of help. Thanks.

I don't live in the U.K and I'm thinking to join the UK Amazon FBA. Where and how can i get a physical UK address for my company?
miss (1 month ago)
Not sure if this would work but you can try getting a PO Box address with Royal Mail or other websites which you can find on google however sometimes you pay monthly to keep the address
ouch wittz (3 months ago)
hit me up. i rent addresses
Sorry I am not sure how you would get a UK address if you don't live here but on .gov website they just say you have to have a physical address to send paperwork to, so if you have any friends? Sorry i can't be of more help.

Thank you for sharing this information, I've now managed to register my business. Do you have any information videos about taxes? Many thanks
Sorry No I can't advise about taxes, as struggle with that myself. I've just gotten myself a good accountant and only now getting stuck not the tax side of things. Best advice is to book an hour with an accountant, see what they have to say. Thanks.

What if there is no SIC that corresponds to my type of business? Should I choose the one that seems closest?
Hi Natalia, There are loads of subcategories within the main categories given and you can have more than one code, my business has a couple. So yes I would find 2 or 3 closest and list all of them. I found a really good article here - https://www.qualityformations.co.uk/blog/choosing-sic-code-limited-company/   about SIC codes. Hope that helps.

Very informative. What is the minimum required capital for the limited company?
EBOJFM DBOOJOH (10 months ago)
There is a required capital of £50000 needed to form a public limited company
Hi YoutberUser1212 There is no minimum requirement for signing up and starting a Ltd company, that depends on what business you're starting. So you may need lots or none but that doesn't affect your company registration. Hope that helps, thanks.
